for Envision Technologies
These Terms & Conditions (“Terms”) govern the provision of services by Envision (“Company”, “we”, “our”, “us”) to clients (“Client”, “you”). By engaging our services, signing a proposal, or making payment, you agree to these Terms.
1. Scope of Service
Envision provides technology and engineering services including but not limited to:
Managed IT Services
ICT & ELV Systems
Infrastructure & Networking
Cybersecurity
Digital Transformation & Consulting
The exact scope, deliverables, timelines, and fees are defined in a written proposal, statement of work (SOW), or contract agreed between Envision and the Client.
2. Engagement of Service
An engagement is deemed accepted when:
A proposal or SOW is signed, or
Written confirmation (email/WhatsApp) is provided, or
An advance or full payment is made
3. Fees & Payments Terms
Fees are outlined in the approved proposal or SOW.
Unless stated otherwise, invoices are payable within [7 / 14 / 30] days from the invoice date.
Late payments may result in service suspension.
Envision reserves the right to revise pricing for ongoing services with prior notice.
4. Change Requests
Any work outside the agreed scope will be treated as a Change Request and may:
Incur additional fees
Require timeline adjustments
Be subject to written approval before execution
5. Client Responsibilities
The Client agrees to:
Provide timely access to systems, data, premises, and personnel
Ensure accuracy of information provided
Assign a single point of contact for coordination
Delays caused by incomplete or late inputs may affect timelines.
6. Confidentiality
Both parties agree to keep confidential all non-public, proprietary, or sensitive information shared during the engagement, unless disclosure is required by law or prior written consent is obtained.
7. Intellectual Property
All pre-existing intellectual property remains the property of the original owner.
Upon full payment, the Client receives usage rights to agreed deliverables.
Envision retains the right to reuse general know-how, frameworks, and non-confidential methodologies.
8. Third Party Services & Vendors
Envision may integrate or recommend third-party tools, platforms, or vendors.
Envision is not responsible for outages, limitations, pricing changes, or failures caused by third-party providers.
10. Limitation of Liability
To the maximum extent permitted by law:
Envision shall not be liable for indirect, incidental, or consequential damages.
Total liability shall not exceed the fees paid by the Client for the specific service giving rise to the claim.
11. Termination
Either party may terminate an engagement:
With written notice as per the agreed contract, or
Immediately in case of material breach
Fees for work completed up to the termination date remain payable.
12. Force Majeure
Envision shall not be liable for delays or failures caused by events beyond reasonable control, including but not limited to natural disasters, government actions, power failures, or cyber incidents.
13. Governing Law & Jurisdiction
These Terms shall be governed by and interpreted in accordance with the laws of the Country, unless otherwise agreed in writing.
14. Amendments
Envision reserves the right to update these Terms. Continued use of services constitutes acceptance of revised Terms.
